LINKIFY REWARDS — USER TERMS OF SERVICE

This is an in-house draft produced from the Linkify Rewards decision register (LR-ENG-001 and LR-BUS-001 only) for review by Linkify's counsel before publication. 1. WHO WE ARE AND WHAT THESE TERMS COVER
1.1 Linkify Solutions Inc. ("Linkify", "we", "us", "our") operates Linkify Rewards ("the Service"), a multi-business rewards and discovery application.
Basis: LR-BUS-001 §1.1, §4.1.
1.2 These Terms of Service ("Terms") govern your use of the Service, including the Linkify Rewards mobile application, the website, and any wallet pass offered through the Service. A separate Privacy Policy explains how we handle your personal information.

2. ACCEPTANCE
2.1 By creating an account, installing the application, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2.2 These Terms apply to your use of the Service, including any points, coupons, and offers made available through it.
3. ELIGIBILITY
3.1 You must be [age of majority in your province/territory — confirm] to use the Service.

4. ACCOUNTS AND SECURITY
4.1 You create an account using email OTP or, when available, Apple/Google sign-in. Phone-number authentication is not used.
Basis: LR-ENG-001 §2.6.a (email OTP + Apple/Google social; no phone auth).
4.2 You are responsible for keeping your account secure and for activity that occurs under your account. You agree to provide accurate information.

4.3 We may mark an account as non-unique if it shares a hashed email or phone value with an existing account. Non-unique accounts are not eligible for one-per-person grants such as welcome offers.

5. THE SERVICE
5.1 The Service lets you earn Points at participating merchants, redeem Points for items or discounts at merchants where you have earned them, and receive offers from merchants. You may add a rewards card to your device's wallet.
Basis: LR-BUS-001 §4.1; PRODUCT.md (earn, redeem, discover, wallet pass).
5.2 The Service is free to use. You may pay merchants directly for purchases; payments you make to merchants are governed by the merchant, not by these Terms.
Basis: LR-BUS-001 §6.3.a (users pay nothing).
6. POINTS
6.1 Value. Points are the loyalty unit used in the Service, valued at 1 Point = CAD $0.01, platform-wide.
Basis: LR-BUS-001 §3, §5.2; LR-ENG-001 §2.8.
6.2 Two-layer economy. The Service separates two layers: the closed, per-merchant loyalty layer (Points; free product only here, merchant-funded) and the open, cross-merchant discovery layer (discount coupons only, never free product). Points exist only in the loyalty layer.
Basis: LR-BUS-001 §5.1, §5.1.1, §5.1.2. Load-bearing for the tax treatment (LR-ENG-001 §7.1).
6.3 Closed per-merchant. Points earned at a merchant are redeemable only at that merchant, for goods or services in that merchant's redemption catalog. Points are not spendable across merchants.
Basis: LR-BUS-001 §5.1.1 (closed per-merchant loyalty layer).
6.4 Earning. Points accrue on the cash portion of an order only. Amounts paid in Points or covered by coupons do not earn Points.
Basis: LR-BUS-001 §5.3 (earning rule).
6.5 No devaluation. Points you have already earned are never devalued.
Basis: LR-ENG-001 §2.8 (already-earned points never devalued, platform-enforced).
6.6 Balance display. At checkout, the Service shows your balance at the current merchant only. Your aggregate balance across merchants is a display total, not a spendable balance.
Basis: LR-BUS-001 §5.4.a.
6.7 Points are not currency. Points are a loyalty benefit offered by the merchant that issued them. They have no cash value and are not exchangeable for cash except as offered through the issuing merchant's redemption catalog.
Basis: LR-BUS-001 §5.1.1 (closed per-merchant; redemption in the merchant's own goods). The "no cash value" statement is standard ToS language implied by the closed per-merchant design — confirm with counsel.
6.8 Coupons and Points do not combine in a single order in the initial release.

7. EXPIRY
7.1 Points at a merchant expire only after [12–18 months — final value set at Phase 3] of no activity at that merchant. This is a single platform-wide rule; merchants do not set their own expiry.
Basis: LR-ENG-001 §8.1 (platform-wide inactivity expiry; never per-merchant).
7.2 You will be warned 30 days and again 7 days before your Points expire.
Basis: LR-ENG-001 §8.1 (warnings at 30 and 7 days).
8. REDEMPTION AND OFFLINE OPERATION
8.1 Redemptions require connectivity and cannot be processed offline. Counter earns may be recorded offline and reconciled when connectivity is restored.

8.2 Points redemption is subject to the issuing merchant's redemption catalog and availability.
Basis: LR-BUS-001 §5.2 (merchant controls redemption catalog pricing).
9. MERCHANT EXIT
9.1 If a merchant exits the Service voluntarily, a 30-day wind-down applies: you will be notified, Points remain redeemable during the wind-down, and the merchant's page is marked "closing soon."
Basis: LR-ENG-001 §8.2 (voluntary churn: 30-day wind-down; users notified; points redeemable; page marked closing soon).
9.2 If a merchant closes abruptly, Points at that merchant are void. You will receive an apology notification and, where possible, a goodwill coupon from a nearby merchant.

9.3 Linkify does not reimburse stranded Points balances.
Basis: LR-ENG-001 §8.2 (Linkify shall not reimburse stranded balances).
10. PUSH NOTIFICATIONS
10.1 You will receive push notifications only if you opt in.
Basis: LR-ENG-001 §8.6 (pushes to opted-in customers).
10.2 Notifications are subject to per-merchant quotas and enforced quiet hours. Cross-merchant discovery notifications are curated by the platform.

10.3 You may change your notification preferences or withdraw consent at any time through the Service.

11. ACCEPTABLE USE
11.1 You agree not to misuse the Service. Misuse includes: fraud; creating multiple accounts to claim offers more than once; interfering with the Service's operation; attempting to reverse engineer the Service; and using the Service unlawfully.

12. THIRD-PARTY SERVICES
12.1 The Service uses third-party providers, including payment processing and Apple/Google sign-in. Their terms and privacy policies apply to their services.

13. TERMINATION AND ACCOUNT DELETION
13.1 You may request deletion of your account at any time by contacting support@linkifyrewards.com. Once an in-app deletion flow ships, you may also request deletion through the Service. We will honor deletion requests within PIPEDA-consistent timeframes.
Basis: PIPEDA-compatible account deletion; LR-ENG-001 §2.12 (support channel), §3 (TLM legal precedent — delete-account flow, adapted). Phase 1 ships no self-serve deletion endpoint — this clause states the request-based right.
13.2 On account deletion, we will delete or de-identify your personal information in accordance with the Privacy Policy, subject to legal retention requirements (for example, records required for tax or fraud-prevention purposes).

13.3 We may suspend or terminate access to the Service if you breach these Terms.

14. DISCLAIMERS AND LIMITATION OF LIABILITY
14.1 The Service is provided "as is" and "as available."

14.2 To the maximum extent permitted by law, Linkify is not liable for merchant-issued Points, merchant conduct, or merchant goods and services. Points are the liability of the issuing merchant.

14.3 Nothing in these Terms limits liability that cannot be limited under applicable law.

15. GOVERNING LAW
15.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of Ontario have exclusive jurisdiction.
Required by the phase spec: Ontario/Canada jurisdiction (LR-TS-001 §5.8, P1-R70).
16. CHANGES TO THESE TERMS
16.1 We may update these Terms. We will notify you of material changes through the Service or by email. Your continued use of the Service after the effective date of the changes constitutes acceptance.

18. GENERAL
18.1 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in effect.
18.2 Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Linkify regarding your use of the Service.
18.3 Waiver. Our failure to enforce a provision is not a waiver of it.
